16. Sensitive, Classified or Commercial in Confidence Material

Users agree that no sensitive, government classified or commercial in confidence material ("sensitive material") will be entered into or stored on ProjectSuite's servers or databases. Whilst we take all precautions to protect our systems and data, this is a public SAAS platform with public exposed end points. There is always a risk our servers could be compromised in a targeted cyber attack.

ProjectSuite does not assume any responsibility or liability for any sensitive material mistakenly or deliberatly stored on our servers in contravention of our terms and conditions. Users acknowledge and agree that they are solely responsible for ensuring that any sensitive material they may store on our servers is removed immediately. ProjectSuite reserves the right to suspend or terminate a user's account if we believe that the user has violated this provision.

17. Software as a Service (SaaS)

a. Subscription
ProjectSuite.net provides a software as a service (SaaS) subscription-based platform for project management. Users must subscribe to use our platform, and subscription fees are payable in advance on a monthly or annual basis.

b. License
Upon subscribing to our platform, users are granted a limited, non-exclusive, non-transferable license to use our software for their own internal business purposes. Users may not resell, sublicense, distribute, or transfer their license to any third party without our prior written consent.

c. Intellectual Property
All intellectual property rights in our software, including all copyright, trademarks, and other proprietary rights, belong to ProjectSuite.net. Users may not copy, modify, distribute, or reverse engineer our software, or create derivative works based on our software, without our prior written consent.

d. Support and Maintenance
We provide technical support and maintenance for our software during the term of your subscription. Users may contact our support team by email or through our website for assistance with technical issues or questions.

e. Availability and Performance
We use commercially reasonable efforts to make our platform available to users 24/7, except for scheduled maintenance and downtime caused by factors outside of our control. We do not guarantee the availability or performance of our platform, and we are not liable for any loss or damage resulting from unavailability or poor performance.

f. Data Security
We implement reasonable and appropriate technical and organizational measures to protect the security of our platform and the personal data stored on our servers. However, users acknowledge and agree that no security measure is completely effective or impenetrable, and we are not responsible for any unauthorized access to or disclosure of personal data stored on our servers.

g. Termination
Users may terminate their subscription to our platform at any time by cancelling their subscription through their account settings. We may terminate a user's subscription if the user breaches these Terms and Conditions or fails to pay subscription fees when due. Upon termination, users must immediately stop using our platform and delete any copies of our software in their possession.

h. Modifications
We may modify these Terms and Conditions, our Privacy Policy, or any other policies or agreements related to our platform at any time. We will provide notice of any material changes through our website or by email. Users who continue to use our platform after such notice will be deemed to have accepted the modified terms.

18. Credit Card Processing

ProjectSuite.net uses the payment gateway Stripe to process credit card payments for subscription fees. By entering your credit card information, you consent to the processing of your payment information by Stripe.

a. Security
We use Stripe's secure payment processing platform to ensure the safety and security of your payment information. Stripe is certified as a PCI Level 1 Service Provider, the highest level of certification available in the payment processing industry.

b. Billing
We will bill you on a monthly or annual basis, depending on the subscription plan you choose. If you select a monthly billing cycle, your credit card will be charged monthly on the anniversary of your subscription start date. If you select an annual billing cycle, your credit card will be charged once per year on the anniversary of your subscription start date.

c. Payment Information
We do not store your credit card information on our servers. Stripe securely stores your payment information and processes payments on our behalf. By providing your credit card information, you consent to the processing of your payment information by Stripe.

d. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. We do not offer refunds for any unused portion of your subscription period.

e. Payment Disputes
If you dispute a payment processed by Stripe, please contact us at support@projectsuite.net to initiate a resolution process.

f. Consent to Process Payments
By entering your credit card information on our website, you consent to the processing of your payment information by Stripe for the purpose of processing payment for your subscription to our platform. You acknowledge and agree that we may share your payment information with Stripe for this purpose.

19. Free Trial and Functionality Disclaimer

We offer a 7-day free trial for our platform. By signing up for our free trial, you agree to the terms and conditions set forth in this agreement. When you upgrade to a paid subscription, you acknowledge and agree that the current functionality of the platform is the basis of the subscription and you absolve ProjectSuite.net of any legal action or costs for functionality not available.

We reserve the right to modify, add or remove functionality, or discontinue any part of the platform at any time without prior notice. We will make reasonable efforts to notify you of any significant changes that may affect your subscription. However, it is your responsibility to review the current functionality of the platform before upgrading to a paid subscription.

If you choose to cancel your subscription, you must do so before the end of the free trial period to avoid being charged. We reserve the right to refuse or terminate any subscription at any time in our sole discretion.

By using our platform, you agree to comply with all applicable laws, regulations, and this agreement. You are solely responsible for any and all data and content that you upload or store on our platform, and you agree to indemnify and hold us harmless from any and all claims, damages, or expenses arising out of or related to your use of our platform.

20. Data Loss Disclaimer

While we take reasonable measures to ensure the security and integrity of your data, we cannot guarantee that your data will not be lost, damaged, or corrupted due to factors beyond our control, such as hardware or software failures, natural disasters, or malicious attacks.

By using our platform, you acknowledge and agree that we are not liable for any lost, damaged, or corrupted data, and you absolve ProjectSuite.net of any legal action or costs arising from such loss or damage. It is your responsibility to regularly back up your data and maintain copies of your data outside of our platform.

We may periodically perform maintenance or upgrades to our platform, which may result in temporary unavailability or loss of data. This Data Protection Addendum ("Addendum") supplements the terms and conditions and privacy policy of ProjectSuite.net ("we" or "us") and sets out the terms that govern our processing of personal data on behalf of our customers who are subject to the General Data Protection Regulation ("GDPR") or the Australian Privacy Act 1988 ("APA").

Capitalized terms used in this Addendum shall have the meanings set out in the GDPR or the APA, as applicable.

2. Scope of Processing
We will process personal data on behalf of our customers only for the purposes of providing our services to our customers in accordance with the terms and conditions and privacy policy of ProjectSuite.net.

3. Customer Obligations
Our customers are responsible for ensuring that they have obtained all necessary consents and authorizations to enable us to process personal data on their behalf in accordance with the terms and conditions and privacy policy of ProjectSuite.net.

4. Data Protection Officer
Our customers are responsible for appointing a data protection officer (DPO) in accordance with the GDPR or the APA, as applicable.

This Addendum shall be governed by and construed in accordance with the laws of Wilmington, Delaware. The parties agree that any disputes arising out of or in connection with this Addendum shall be subject to the exclusive jurisdiction of the courts of Wilmington Delaware.

13. Amendments
We may update this Addendum from time to time to reflect changes in applicable data protection laws or our processing activities. We will notify our customers of any material changes to this Addendum in accordance with the terms and conditions of ProjectSuite.net.
